Terms of Service

Last updated: [DATE]

These Terms of Service govern your use of NyumbaniFlow, operated by Nyumbani Flow Enterprise ("NyumbaniFlow", "we", "us"). Please read them before creating an account.

1. Acceptance of these terms

By creating an account or using NyumbaniFlow, you agree to these Terms of Service and to our Privacy Policy. If you don't agree, don't use NyumbaniFlow.

2. About NyumbaniFlow

NyumbaniFlow provides tools for landlords and tenants to manage rental-related activity: rent records, utility billing, maintenance tracking, communication, and available-unit discovery through Nearby. We're a software platform — we don't own, manage, or broker any property listed on it.

3. Accounts

  • You must provide accurate account information, including a working phone number for verification.
  • You’re responsible for everything that happens under your account.
  • Keep your login credentials and verification methods (including OTP codes) secure and don’t share them.
  • You must not use another person’s account, or create an account on someone else’s behalf without authorization.
  • Tell us promptly if you suspect unauthorized access to your account.

4. Landlord responsibilities

As a landlord using NyumbaniFlow, you're responsible for:

  • Keeping property, unit, and tenant information accurate and up to date.
  • Promptly confirming or disputing payments that a tenant reports as paid directly to you.
  • Maintaining accurate rent and utility records for your properties.
  • Having the legal authority to manage and list any property you add to NyumbaniFlow — as owner, agent, or authorized manager.
  • Responding to maintenance requests and tenant communications in good faith.

5. Tenant responsibilities

As a tenant using NyumbaniFlow, you're responsible for:

  • Providing accurate information about yourself.
  • Making payments through one of the available payment methods, and reporting direct payments accurately if you pay a landlord outside the app.
  • Using messaging, voice, and maintenance features appropriately — not to harass, spam, or mislead a landlord.
  • Verifying a unit’s current availability and suitability directly with the landlord before entering into any rental agreement.

6. Payments

NyumbaniFlow is a facilitator and record-keeper for rent and utility payments — it does not hold, custody, or transfer funds itself.

Mobile money payments

When you pay by M-Pesa, MTN MoMo, or Airtel Money through the app, funds move directly between your mobile money account and the landlord's, through that provider's own payment rails. NyumbaniFlow records the resulting transaction — amount, reference, timestamp, status — but is not the party that moves the money.

Direct or manual payments

If you pay a landlord directly (e.g. cash, or a mobile money transfer made outside the app) and log it in NyumbaniFlow, that record does not affect your balance until the landlord confirms it. A landlord may confirm, dispute, or reject a reported payment. NyumbaniFlow is not a party to that underlying payment and does not verify, independently of the landlord, that it occurred.

What "confirmed" means

A payment marked confirmed in NyumbaniFlow reflects either a status returned by the mobile money provider, or a landlord's confirmation of a direct payment. It is a record of what was reported or verified through those channels — not an independent guarantee by NyumbaniFlow that funds physically changed hands.

Fees

Mobile money providers may charge their own transaction fees, separate from NyumbaniFlow. [Describe here whether NyumbaniFlow charges any fee on top of that, or whether fees are limited to your subscription plan in Section 7.]

7. Subscriptions and plans

NyumbaniFlow is offered on subscription plans (e.g. Free, Basic, Pro), each with its own limit on the number of units or properties you can manage. Details of current plans and pricing are available at [link to pricing page].

  • Subscriptions are billed on a recurring basis (e.g. monthly) until cancelled.
  • If your usage exceeds your plan’s unit limit, [describe what happens — blocked from adding units, prompted to upgrade, overage charge, etc.].
  • If a paid subscription ends or lapses, your account may be downgraded to the Free plan, and features beyond that plan’s limits may become unavailable, though your existing data is not deleted solely for that reason.

8. Refunds

Refunds for NyumbaniFlow subscription charges are governed by our separate Refund Policy, not by these Terms.

9. Nearby listings

  • Landlords are responsible for the accuracy of any listing they publish through Nearby, including price, location, and availability.
  • NyumbaniFlow does not guarantee that a listed unit remains available after it’s published — a landlord may fill or remove it at any time.
  • NyumbaniFlow does not screen, inspect, or endorse listed properties.

Before entering into any rental agreement, verify the unit's current availability, condition, and terms directly with the landlord.

10. Acceptable use

You must not:

  • Use NyumbaniFlow for any unlawful purpose.
  • Submit fraudulent payment information or falsely report a payment as made.
  • Impersonate another person, or misrepresent your relationship to a property.
  • Abuse messaging, voice call, or notification features — including for spam or harassment.
  • Upload misleading, inaccurate, or fraudulent property listings.
  • Attempt to interfere with, disrupt, or reverse-engineer the service.

11. Intellectual property

  • NyumbaniFlow’s software, website, and branding (including the NyumbaniFlow name and logo) are owned by Nyumbani Flow Enterprise and protected by applicable intellectual property law.
  • You retain ownership of content you submit (e.g. property descriptions, photos, messages), but grant us a license to use, store, and display it as necessary to operate the service.
  • You may not copy, modify, or redistribute NyumbaniFlow’s software or branding without our permission.

12. Third-party services

NyumbaniFlow relies on third-party services to operate, including mobile money providers (Safaricom M-Pesa, MTN MoMo, Airtel Money), messaging providers (Africa's Talking for SMS and voice, Meta's WhatsApp Business API), Google for sign-in and maps, push notification infrastructure, and cloud hosting. Your use of those underlying services may also be subject to their own terms.

13. Service availability

We aim to keep NyumbaniFlow available and reliable, but we don't guarantee uninterrupted or error-free service. We may suspend access for maintenance, updates, or reasons outside our control (including outages of the third-party services in Section 12).

14. Suspension and termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or unlawful activity, or if required by law. You may also close your account at any time.

What happens to your data afterward is described in our Privacy Policy and Data Deletion page — some records may be retained for a period to meet legal or financial record-keeping obligations even after an account is closed.

15. Disclaimers

NyumbaniFlow is provided "as is" and "as available." We don't guarantee that a listed property is available, suitable, or accurately described beyond what the landlord has provided, that a reported payment reflects funds actually received, or that the service will be uninterrupted or error-free. NyumbaniFlow is a software tool for managing rental activity — it is not a party to any lease or rental agreement between a landlord and tenant.

16. Limitation of liability

To the fullest extent permitted by law, NyumbaniFlow and Nyumbani Flow Enterprise are not liable for indirect, incidental, or consequential damages arising from your use of the service, including disputes between a landlord and tenant, or losses relating to a payment made or reported outside of NyumbaniFlow's direct control. [Final wording, any liability cap, and carve-outs should be set with legal advice.]

17. Changes to these terms

We may update these Terms as NyumbaniFlow changes. If we make a material change, we'll notify you through the app, by email, or by posting a notice on our website before it takes effect. Continued use of NyumbaniFlow after a change takes effect means you accept the updated Terms.

18. Governing law

These Terms are governed by the laws of Kenya. [If you intend disputes to be resolved specifically in Kenyan courts, or want an arbitration clause, add that here after legal advice — particularly given landlords and tenants in Uganda, Rwanda, and Tanzania are also bound by these Terms.]
